THIS AGREEMENT between:
Heritage Lab Community Interest Company ("the Provider"), trading as Ramsgate Works, located at the Old Wine Warehouse, Charlotte Court CT11 8HE and the Member - being the person making the payments for the desk rental.
1.1. The Agreement shall commence on the date this agreement is “signed” and shall continue on a rolling monthly/4 monthly/annual basis until terminated by either party in accordance with Clause 6. For the purposes of this agreement, ticking the approval box on the webform is de facto acceptance of the terms and conditions set out herein.
2.1. The Provider agrees to offer the Member access to a designated or hot desk space at Ramsgate Works.
2.2. The Agreement includes: a) Use of a desk space within the co-working facility. b) Access to shared amenities, including internet, communal areas, and kitchen facilities. c) Business hour access will normally be from 08:00 – 18:00 Monday to Friday and subject to review based on usage. The minimum contractual opening hours are 09:00 - 17:00 Monday to Friday.
3.1. The Member agrees to pay a monthly/4 monthly/annual fee as advertised on the Ramsgate Works sign up page, payable in advance by direct debit on the 1st of each month.
3.2. Failure to make payment within five (5) business days of the due date may result in suspension of access.
3.3. Prices may be subject to review with 30 days' written notice from the Provider. Monthly and 4 monthly members joining part way through a month will be billed on a one off basis for the remainder of that calendar month before their subscription commences.
4.1. The Member agrees to use the space solely for business purposes and not for any unlawful activity.
4.2. There shall be no sub licensing of the facilities.
4.3. The Member shall not make any modifications to the premises or bring in additional furniture without prior consent.
4.4. The Member shall respect the shared nature of the space and comply with any community guidelines issued by the Provider.
4.5. Smoking and vaping: Smoking and vaping in any part of the building is not permitted.
4.6. Fair Use of Printer: The complimentary printer is provided for reasonable business use. Excessive or high-volume printing may be subject to additional charges or restrictions at the discretion of the Provider.
4.7. Meeting Pods: Meeting pods are available on a first-come, first-served basis. For permanent desk members, they can be reserved subject to availability and the fair booking policy.
4.8. Guests: The Member is responsible for ensuring their guests [up to 2] adhere to the co-working space house rules.
4.9. Noise: The Member agrees to respect the co-working environment by keeping background noise to a minimum.
4.10. E-Concierge. Members may need to use a smart phone to access the space or use some of the facilities. Members agree to maintain and bring their smart phone with the relevant minimum operating system requirements and download the required apps in order to access and use Ramsgate Works. Where access is via a key-code, Members agree not to share this key code with anyone else, including other Members. Where access is granted via a fob or similar, Members agree not to share this with anyone else. If fobs are lost, a small fee will be payable to cover the replacement of the lost fob and associated admin time.
4.11 Lockers. Permanent desk Members have the option of a small lockable cupboard. If the key is lost, please notify Ramsgate Works as soon as possible. Members will need to pay £20 to cover the cost of replacement.
5.1. Damage deemed to be beyond reasonable wear and tear shall be the responsibility of the Member who shall be charged with the replacement cost of the value/repair of the item.
5.2. The Provider shall not be liable for loss or damage to the Member’s property while on the premises.
5.3. The Member agrees to indemnify the Provider against any claims arising from their use of the space.
6.1. Members may terminate this Agreement by giving one full calendar month’s written notice. For example, if cancellation is given on 20th May, the contract will end on the 30th June.
6.2. The Provider reserves the right to terminate the Agreement with immediate effect if the Member breaches the terms of this Agreement.
6.3. Upon termination, the Member must vacate the premises and remove all personal belongings.
7.1. This Agreement does not create a lease but a license to use the space.
7.2. Any disputes shall be resolved amicably or referred to mediation before legal proceedings.
7.3. This Agreement is governed by the laws of England and Wales.
